1. Agreement to Terms
By accessing or using CellaBay services, including our website, CellaDock™ platform, and transformation services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our Services.
These Terms apply to all visitors, users, and clients of CellaBay, including but not limited to users of CellaBay Spaces, CellaDock™, and future brand offerings.
2. Services Description
Transformation Services
CellaBay Spaces provides professional organization and transformation services for garages, basements, outdoor areas, and attics. Services include consultation, design, procurement, installation, and ongoing support.
CellaDock™ Platform
CellaDock™ is our intelligent inventory management platform providing:
- Item cataloging with photos and QR codes
- Multi-property tracking and search
- Valuables documentation and insurance tracking
- Home infrastructure maintenance reminders
3. Account Registration
To access certain Services, you must create an account. You agree to:
- • Provide accurate, current, and complete information
- • Maintain and update your information to keep it accurate
- • Maintain the security of your password
- • Notify us immediately of unauthorized account access
- • Accept responsibility for all activities under your account
You must be at least 18 years old to create an account and use our Services.
4. Subscription Terms
Annual-Only Model
CellaDock™ subscriptions are annual commitments only. We do not offer monthly subscriptions. This model ensures platform stability, better service, and allows us to invest in long-term client relationships.
Pricing Tiers
- • CellaDock Home: $499/year (single property)
- • CellaDock Pro: $1,499/year (multi-property, valuables tracking)
- • CellaDock Elite: $4,999/year (unlimited properties, concierge support)
- • Private Instances: $25,000-$50,000/year (custom enterprise deployments)
Billing
- • Subscriptions are billed annually in advance
- • Automatic renewal unless canceled 30 days before renewal date
- • Price changes take effect at next renewal (existing terms honored)
- • No refunds for partial years (see Cancellation Policy)
5. Cancellation & Refunds
Transformation Services
- • Deposits: Non-refundable after design approval
- • Cancellation: 50% fee if canceled after materials ordered
- • Completion: Full payment due upon project completion
- • Satisfaction guarantee: We'll make it right or refund the difference
CellaDock™ Subscriptions
- • 30-day money-back guarantee (new subscriptions only)
- • After 30 days: No refunds for remaining term
- • You can cancel renewal anytime (30 days notice required)
- • Access continues until end of paid period
- • Data export available upon cancellation
6. Acceptable Use Policy
You May:
- Use Services for personal, non-commercial purposes
- Share account access with family members
- Export your own data at any time
You May NOT:
- Resell, sublicense, or redistribute our Services
- Reverse engineer, decompile, or hack our platform
- Use automated scripts or bots to access Services
- Transmit viruses, malware, or malicious code
- Violate any applicable laws or regulations
- Impersonate others or provide false information
7. Intellectual Property
Our IP
CellaBay owns all rights to our Services, including but not limited to: software, design, trademarks (CellaBay™, CellaDock™, Spaces™), logos, content, and documentation. These Terms do not grant you any ownership rights.
Your Content
You retain ownership of all photos, descriptions, and data you upload to CellaDock™. By using our Services, you grant us a limited license to store, process, and display your content solely for the purpose of providing Services to you.
We do not claim ownership of your content and will never use it for marketing, AI training, or any purpose beyond serving you.
8. Warranty & Liability
Our Guarantee
We stand behind our work. If you're not satisfied with your transformation service, we will make adjustments until you are—or refund the difference. CellaDock™ includes a 30-day money-back guarantee.
Limitation of Liability
To the maximum extent permitted by law:
- • Services provided "as is" without warranties beyond our explicit guarantees
- • CellaBay not liable for indirect, incidental, or consequential damages
- • Total liability limited to amount paid for Services in past 12 months
- • Not liable for data loss (you should maintain backups)
- • Not liable for third-party actions or services
9. Indemnification
You agree to indemnify and hold CellaBay harmless from any claims, damages, or expenses (including legal fees) arising from your use of Services, violation of these Terms, or infringement of any third-party rights.
10. Dispute Resolution
Informal Resolution
Before formal proceedings, we require a good-faith attempt to resolve disputes informally. Contact us at legal@cellabay.comwith details, and we'll work toward resolution.
Arbitration
If informal resolution fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association, except for:
- • Small claims court matters (under $10,000)
- • Intellectual property disputes
- • Injunctive relief for Terms violations
Class Action Waiver
You agree to resolve disputes individually, not as part of a class action, consolidated, or representative proceeding.
11. Governing Law
These Terms are governed by the laws of [State TBD], United States, without regard to conflict of law principles. Exclusive jurisdiction for any disputes lies with courts in [County TBD].
12. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email with 30 days' notice. Continued use after changes indicates acceptance. If you disagree, cancel your subscription within the notice period for a prorated refund.
13. Termination
By You
Cancel your subscription anytime by contacting support. Account remains active until end of paid period. Data available for export for 90 days after cancellation.
By Us
We may suspend or terminate your account for:
- • Violation of these Terms or Acceptable Use Policy
- • Non-payment of fees
- • Fraud or abuse of Services
- • Legal requirements or safety concerns
We'll provide notice and opportunity to cure when practical. Upon termination, you lose access to Services and must cease use immediately.
14. Miscellaneous
- Severability: If any provision is unenforceable, remaining terms stay in effect
- Waiver: Failure to enforce any right doesn't waive that right
- Assignment: You may not transfer these Terms; we may assign to affiliates
- Entire Agreement: These Terms, Privacy Policy, and Service Agreements constitute the complete agreement
